These Terms and Conditions ("Terms") govern your access to and use of the Zuta mobile application, website, and related services (collectively, the "Service") operated by Zuta Group ("Zuta", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, signing in, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any vertical-specific or contextual policies applicable to the action you are taking (Shop Return and Refund Policy, Eats Refund and Cancellation Policy, Stays Cancellation Policy, Stays Damage and Guest Responsibility Policy, Payment Authorization Policy, and Community / User Conduct Policy). If you do not agree, you may not use the Service.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to create an account. You confirm that the information you provide is accurate, that you have the legal capacity to enter into a binding contract, and that you are not barred from using the Service under any applicable law.
3. Account Registration and Security
You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access. We may suspend or terminate accounts that contain false information or that show signs of fraud, abuse, or misuse.
4. The Service
Zuta operates a multi-vertical platform comprised of:
- Zuta Shop — a marketplace where independent merchants list and sell products to buyers.
- Zuta Eats — a platform that connects diners with restaurants for food orders, pickup, and delivery.
- Zuta Stays — a platform that connects guests with hosts for short-term property bookings.
Zuta is not the seller of merchandise on Shop, the food provider on Eats, or the property owner on Stays. Zuta provides the technology, payment processing, communication, and dispute-handling tools that connect users to merchants, restaurants, and hosts ("Sellers"). Sellers remain responsible for their goods, food, and properties.
5. Orders, Bookings, and Payments
By placing an order on Shop, an order on Eats, or a booking on Stays, you authorize Zuta to charge the agreed total (including item price, applicable taxes, service fees, delivery fees, processor fees, and any other disclosed charges) through your selected payment method. Detailed payment terms are governed by the Payment Authorization Policy.
Prices, availability, and Seller policies may change without notice. Zuta reserves the right to refuse, cancel, or limit any order or booking where there is reason to suspect fraud, error, payment failure, or violation of these Terms.
6. Refunds, Cancellations, and Returns
The applicable refund / return / cancellation policy depends on the vertical:
- Shop — see the Shop Return and Refund Policy. Returns must be requested within 24 hours of delivery confirmation.
- Eats — see the Eats Refund and Cancellation Policy. Refund requests must be filed within 60 minutes of delivery or pickup confirmation.
- Stays — see the Stays Cancellation Policy and the Stays Damage and Guest Responsibility Policy.
Zuta may approve, partially approve, or deny refund requests after review. Refunds will be returned to the original payment method where possible.
7. User Conduct
You agree not to use the Service to:
- violate any applicable law, regulation, or third-party right;
- transmit harmful, abusive, harassing, defamatory, sexually explicit (where prohibited), or otherwise unlawful content;
- impersonate any person or misrepresent your affiliation;
- interfere with or disrupt the Service, any servers or networks connected to the Service, or any Seller's operations;
- attempt to gain unauthorized access to other users' accounts or to Zuta systems;
- engage in fraud, charge-back abuse, or repeated bad-faith refund / damage claims;
- use the Service to send unsolicited messages, scrape content, or build a competing product.
Detailed conduct expectations are governed by the Community / User Conduct Policy.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes the personal data we collect and how we use, share, retain, and protect it.
9. Intellectual Property
The Service, including its software, design, trademarks, logos, and content created by Zuta, is and remains the exclusive property of Zuta and its licensors. Nothing in these Terms grants you any right in Zuta intellectual property except a limited, revocable, non-exclusive, non-transferable license to use the app for its intended consumer purpose.
User-submitted content (photos, reviews, messages, listing information for Sellers) remains owned by the user, but you grant Zuta a worldwide, royalty-free, non-exclusive license to host, display, distribute, and use it for the purpose of operating, promoting, and improving the Service.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Zuta disclaims all warranties — express, implied, statutory, or otherwise — including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. Zuta does not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected.
Zuta is not responsible for the quality, safety, legality, or accuracy of products, food, or properties offered by Sellers. Disputes about Seller-provided goods or services are governed by the applicable refund / return / cancellation policy.
11. Limitation of Liability
To the fullest extent permitted by law, Zuta and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service, even if Zuta has been advised of the possibility of such damages. Zuta's total cumulative liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to Zuta in the twelve (12) months preceding the claim and (b) one hundred United States dollars (USD 100).
12. Indemnification
You agree to indemnify and hold harmless Zuta, its affiliates, and its and their officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from your breach of these Terms, your use of the Service, your content, or your violation of any law or third-party right.
13. Suspension and Termination
We may suspend or terminate your access at any time, with or without notice, for any breach of these Terms, suspected fraud, regulatory requirement, or risk to other users or to Zuta. You may close your account at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
14. Changes to These Terms
We may update these Terms from time to time. When we make a material change we will (a) publish a new version through our backend versioning system, (b) update the effective date, and (c) require you to re-accept the new version before continuing to transact. Non-material changes (typo, formatting, clarifications) take effect on publication without requiring re-acceptance.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws applicable in the jurisdiction where Zuta operates and provides services to you, without regard to conflict-of-law principles. Where required by applicable law, disputes may be subject to the courts, regulators, or dispute-resolution bodies with authority in your location or the location where the relevant Zuta service is provided.
16. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right is not a waiver of that right. These Terms constitute the entire agreement between you and Zuta regarding the Service and supersede any prior agreements on the subject. You may not assign these Terms; we may assign them to an affiliate or in connection with a corporate transaction.
